Our Commitment to Good Governance
Edith Institute is governed by a volunteer Board of Directors made up of leaders with expertise in maternal health, law, and organizational leadership and lived experience important to serve our community. Our board provides strategic oversight and ensures that the organization acts in alignment with its mission and values.
We operate as a 501(c)(3) nonprofit organization incorporated in Ohio, and we adhere to applicable federal and state laws governing tax-exempt organizations.
Board Leadership
Our board is responsible for organizational governance, fiduciary oversight, and long-term vision. The board works closely with our leadership team to set organizational priorities and monitor performance. Leadership roles include co-chairs and board members with diverse professional backgrounds.
Policies That Guide Our Work
To maintain integrity and public confidence, we have adopted a set of formal governance policies in accordance with nonprofit best practices:
Conflict of Interest Policy – helps ensure that decisions are made in the best interests of the Organization, free from personal or financial conflicts.
Whistleblower Protection Policy – encourages reporting of concerns and protects individuals who report suspected misconduct in good faith.
Document Retention and Destruction Policy – outlines how records are preserved and responsibly managed, including legal holds.
Financial Transparency
Each year, Edith Institute files an IRS Form 990, the public tax return for charitable organizations. Our Form 990 provides details on our finances, governance, and programs. We are committed to transparency in the use of funds to support our mission.
